Recommendation
Nominate and elect a new Chairperson and Vice Chairperson for Calendar Year 2025.

SUMMARY:
In alignment with Board Governance Policy GP-5.3 (Attachment 1) the Board of Directors elects both the Chairperson (Chair) and Vice Chairperson (Vice Chair) by majority vote. Also, in alignment with Board Governance Policy GP-5.3.1, the election of the following year’s Chair and Vice Chair will take place as the last business item at the last board meeting in December.
This item allows the Board to elect the Board Chair and Vice Chair for the calendar year 2025.
The newly elected Chair and Vice Chair will assume their roles starting at the first Board meeting in January 2025.
As stipulated by the policy, the Clerk of the Board is responsible for maintaining a record of Board members who have served as Chair and Vice Chair. The historical record is provided for the Board’s reference (Attachment 2).
ENVIRONMENTAL JUSTICE AND EQUITY IMPACT:
There are no environmental justice and equity impacts associated with the election of a new Chairperson and Vice Chairperson for the calendar year of 2025. This action is unlikely to or will not result in adverse impacts and is not associated with an equity opportunity.
FINANCIAL IMPACT:
There is no financial impact associated with this item.
CEQA:
The recommended action does not constitute a project under CEQA because it does not have the potential for resulting in direct or reasonably foreseeable indirect physical change in the environment.
