Receive information relating to quorum and attendance requirements for Board Advisory Committees and provide feedback.

SUMMARY:
On September 9, 2026, the Board of Directors (Board) of the Santa Clara Valley Water District (Valley Water) directed the Interim District Counsel to review:
Quorum requirements for Board Advisory Committees; and
Attendance requirements for Board Advisory Committees.
BACKGROUND:
BAC Members are appointed to renewable two-year terms. Each BAC must present to the Board an “Annual Accomplishments Report” summarizing the outcomes of the Committee’s annual Board-approved work plan. Attachment 1 provides an overview of the Advisory Committees, their purpose, membership total and current quorum meeting requirements.
BROWN ACT:
California Government Code section 54952(b) states that “a commission, committee, board, or other body of a local agency, whether permanent or temporary, decision making or advisory, created by charter, ordinance, resolution, or formal action of a legislative body, qualifies as a legislative body subject to the Brown Act.” All of Valley Water’s advisory committees are subject to the Brown Act because they were created by resolution and approved by the Board. Resolution 17-75 section 4.1 further states that “Meetings of the Committees shall be open and public and called in accordance with the Ralph M. Brown act, Government Code sections 54950.”
QUORUM:
While advisory committees are instrumental to the work of Valley Water, they are heavily impacted when fellow appointed members are unable to attend a meeting and/or must exit during the meeting. Currently, Valley Water ...
