Approve the Appointment of a Santa Clara Valley Water District Voting Delegate to Vote for the Association of California Water Agencies for the Proposed Bylaws Amendments.

RECOMMENDATION: Recommendation
Appoint Director John L. Varela as the Santa Clara Valley Water District (Valley Water) voting delegate for consideration of the Association of California Water Agencies’ Proposed Amended and Restated Bylaws; and
Authorize the voting delegate to cast Valley Water’s vote in favor of the Proposed Amended and Restated Association of California Water Agencies’ Bylaws.

SUMMARY:
The Association of California Water Agencies (ACWA) will conduct a vote of membership by electronic ballot on proposed Amended and Restated Bylaws, as recommended by the ACWA Board of Directors on September 25, 2026.
The proposed amendments address the scheduling of special meetings, allow action to be taken by written consent, clarify quorum requirements for region boards, closed session attendance limits, Council of Past Presidents meeting attendance, and quorum requirements for actions of the members of the Association taken by written ballot. See Attachments 2-4 for additional information on the proposed amendments.
The voting will be conducted by electronic ballot consistent with the voting process used by members to elect Board Officers and region boards. Conducting the vote electronically provides all members an opportunity to participate, rather than limiting voting to members attending an ACWA conference, thereby promoting broader member participation and engagement.
Each member agency is entitled to one vote that will be cast by its authorized voting representative. Member agencies must designate their voting representative by submitting the attached Authorized Voting Representative Form by Friday, October 30.
