A. Discuss Board Member Roles and Responsibilities When Serving on External Committees Such as Joint Powers Authorities (JPAs);
B. Recommend edits to GP-9.3 to be presented to the full Board for approval.
Body

SUMMARY:
The Valley Water Board of Directors assigned the Board Policy and Monitoring Committee (BPMC) to discuss the roles and responsibilities of Board Members who serve as Valley Water representatives on Joint Powers Authorities (JPAs) and to determine if governance policy language should be added to clarify roles. At the December 10, 2025 BPMC meeting, the Committee received the results of comparative research and initial findings indicated that the majority of agencies do not specify roles and responsibilities of their representatives on JPAs.
Currently, Governance Policy 9.3 Board Members Representation on External Committees are as follows. Staff recommends changes (shown in red) to existing policies to clarify Board member roles as representatives.
9.3.1 Board members assigned to serve on external committees or other governing bodies (Board representatives) shall serve in the best interests of the District unless otherwise required by statute, ordinance, resolution, or other legislative action.
9.3.2 Board representatives members shall serve on appointed committees to maintain effective relationships.
Staff recommend the additional language below be added that addresses regular communication back to the Board and seeking input on significant decisions.
